VEXA — TERMS OF USE

Welcome to VEXA, the professional directory and collaboration platform operated by ONEORVE & CO (PTE.) LTD. (“ONEORVE”, “we”, “us” or “our”).

These Terms of Use (“Terms”) govern your access to and use of the VEXA website, platform, services, content and related features (collectively, the “Platform”).

By accessing, registering for, or using VEXA, you acknowledge that you have read, understood and agree to be bound by these Terms and our applicable Privacy Policy. If you do not agree with these Terms, please do not access or use the Platform.

1. Purpose of VEXA

VEXA is designed to provide a professional directory and identity platform for the ONEORVE ecosystem.

The Platform may allow users and visitors to:

discover and view information about ONEORVE Stewards;
verify an individual's stated association with ONEORVE;
access professional profiles and information made available through the Platform;
communicate and collaborate with other members of the ONEORVE ecosystem; and
access information about ONEORVE, its initiatives, projects and related organisations.

A profile appearing on VEXA indicates that the individual has been recognised by ONEORVE as a Steward or authorised participant of the ONEORVE ecosystem at the relevant time.

However, inclusion in VEXA does not, by itself, constitute an employment relationship, agency relationship, partnership, fiduciary relationship or authority to bind ONEORVE unless expressly stated or separately agreed in writing.

2. Eligibility and Account

You must provide accurate and current information when creating or maintaining an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.

You must not:

create an account using another person's identity;
impersonate another person or organisation;
provide false, misleading or materially incomplete information;
create multiple accounts for the purpose of circumventing Platform controls; or
allow another person to use your account where such use is not authorised.

ONEORVE may suspend, restrict or terminate an account where there are reasonable grounds to believe that the account has been used in breach of these Terms, applicable law or ONEORVE policies.

3. Professional Profiles and Verification

VEXA is intended to provide transparency regarding individuals associated with ONEORVE.

ONEORVE may verify information provided by Stewards and may update, amend, restrict or remove profiles where information is inaccurate, outdated, misleading or no longer represents the individual's relationship with ONEORVE.

Users must not falsely claim to be a ONEORVE Steward, representative, employee, consultant, partner or authorised person.

Where an individual's association with ONEORVE ends, ONEORVE may remove or amend the individual's VEXA profile in accordance with applicable policies, contractual obligations and applicable law.

4. User Content

“User Content” means information, text, photographs, documents, professional information, comments, messages or other materials submitted, uploaded or otherwise made available by a user through the Platform.

You remain responsible for User Content that you submit.

You represent and warrant that:

you have the necessary rights and authority to submit the User Content;
the User Content is not knowingly false or misleading;
the User Content does not unlawfully infringe another person's intellectual property, privacy or other rights;
the User Content does not contain personal data that you are not authorised to provide;
the User Content does not breach any confidentiality or contractual obligation; and
the User Content does not violate applicable Singapore law or the laws applicable to your use of the Platform.

You grant ONEORVE a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and otherwise use your User Content to the extent reasonably necessary to operate, maintain and provide the Platform and related ONEORVE services.

Where your User Content is intended for public display, you acknowledge that it may be viewed and accessed by members of the public.

Nothing in these Terms transfers ownership of your intellectual property to ONEORVE unless expressly agreed otherwise in writing.

5. Personal Data and Privacy

ONEORVE takes the protection of personal data seriously.

Personal data collected, used or disclosed through VEXA will be handled in accordance with Singapore's Personal Data Protection Act 2012 (PDPA) and our Privacy Policy, as applicable.

We may collect, use and disclose personal data for purposes including:

creating and maintaining user accounts;
administering and operating VEXA;
verifying a user's association with ONEORVE;
maintaining professional directories and records;
facilitating communication and collaboration;
providing Platform security and administration;
complying with legal and regulatory obligations; and
other purposes notified to you or otherwise permitted under applicable law.

Where consent is required under the PDPA, ONEORVE will obtain and manage consent in accordance with applicable requirements.

You may have rights under the PDPA to request access to and correction of personal data held by ONEORVE, subject to applicable exceptions and requirements.

ONEORVE will take reasonable security measures to protect personal data against unauthorised access, collection, use, disclosure, copying, modification, disposal or similar risks.

Personal data will not be retained for longer than is reasonably necessary for the purposes for which it was collected, or for legal or business requirements.

Where personal data is transferred outside Singapore, ONEORVE will take the measures required under the PDPA to ensure that the transferred personal data receives a standard of protection comparable to that required under the PDPA.

6. Publicly Available Profile Information

Certain information contained in VEXA profiles may be made publicly accessible for the purpose of allowing visitors to identify and verify ONEORVE Stewards.

Users should therefore only publish information that they are comfortable making publicly available and that is appropriate for a professional directory.

ONEORVE will not intentionally publish personal information that is unnecessary for the stated purpose of the Platform.

Users must not copy, harvest, scrape, compile, sell or otherwise exploit profile information for purposes unrelated to the legitimate use of VEXA, particularly where doing so may infringe privacy, intellectual property or other rights.

7. Acceptable Use

You must use VEXA lawfully, responsibly and respectfully.

You must not use the Platform to:

impersonate another person or organisation;
engage in fraud, deception or misrepresentation;
harass, threaten, stalk, intimidate or abuse another person;
publish or distribute defamatory, unlawful or deliberately misleading material;
publish another person's personal information without lawful authority;
infringe copyright, trademarks or other intellectual property rights;
upload malicious software, viruses or harmful code;
conduct unauthorised security testing, penetration testing or attempts to gain access to restricted systems;
scrape, harvest or systematically collect information from the Platform without our written permission;
send spam, unsolicited commercial communications or other abusive communications;
interfere with the operation, availability, integrity or security of the Platform;
attempt to circumvent authentication, access controls or security measures;
use automated systems or bots in a manner that places an unreasonable burden on the Platform; or
use the Platform for any purpose that is unlawful under Singapore law or applicable law.

ONEORVE may remove content, restrict access, suspend accounts or take other appropriate action where necessary to protect users, the Platform or ONEORVE.

Nothing in these Terms limits any rights or remedies available to ONEORVE under applicable law.

8. Harassment and Harmful Conduct

VEXA is intended to be a professional and respectful environment.

Threatening, abusive, insulting, sexually inappropriate, harassing or otherwise unlawful communications or conduct are not permitted.

Users must comply with applicable Singapore laws, including the Protection from Harassment Act 2014, where applicable. The Act provides protections against harassment, unlawful stalking and certain false statements, including in online environments.

ONEORVE may take appropriate action in response to reported or detected conduct, including removing content, restricting access, suspending accounts and, where appropriate or legally required, referring matters to the relevant authorities.

9. Intellectual Property

Unless otherwise stated, the VEXA Platform, including its software, design, branding, logos, layout, text, graphics and other original materials, is owned by or licensed to ONEORVE.

You may access and use the Platform for its intended purposes only.

You must not reproduce, modify, distribute, publicly display, commercially exploit, reverse engineer or create derivative works from the Platform or its proprietary materials without prior written permission, except where such activity is expressly permitted by law.

Nothing in these Terms limits rights that cannot lawfully be excluded under Singapore law.

Singapore's copyright framework is principally governed by the Copyright Act 2021, which provides protection for creators and copyright owners and includes rules concerning ownership, use and permitted activities.

10. Third-Party Websites and Services

VEXA may contain links to websites, services or resources operated by third parties.

Such links are provided for convenience only. ONEORVE does not necessarily endorse or control those third-party services and is not responsible for their content, availability, security, privacy practices or terms.

Your use of third-party services is subject to the applicable third party's terms and policies.

11. Platform Availability and Changes

ONEORVE will use reasonable efforts to maintain the availability and security of VEXA but does not guarantee that the Platform will always be available, uninterrupted, error-free or free from vulnerabilities.

We may modify, suspend, restrict or discontinue any part of VEXA where reasonably necessary, including for maintenance, security, technical, operational or business reasons.

Where appropriate, we may provide notice of material changes.

12. Electronic Communications

You agree that communications between you and ONEORVE may take place electronically.

Where applicable, electronic records, communications and signatures may be used in accordance with Singapore law.

Singapore's Electronic Transactions Act 2010 provides a legal framework for electronic records, electronic signatures and contracts formed electronically.

13. Disclaimer

To the maximum extent permitted by applicable law, VEXA is provided on an “as available” basis.

ONEORVE does not warrant that:

the Platform will always be available or uninterrupted;
information provided by users will always be accurate or complete;
the Platform will be free from technical errors or vulnerabilities; or
all information available through the Platform will be suitable for a particular purpose.

Information contained in a user profile should not be treated as professional, legal, financial, medical or other regulated advice.

The presence of a person or organisation on VEXA does not constitute an endorsement of every statement, service, opinion or activity associated with that person or organisation.

14. Limitation of Liability

To the maximum extent permitted by Singapore law, ONEORVE will not be liable for indirect, incidental, special or consequential loss arising from or in connection with your use of, or inability to use, VEXA.

Nothing in these Terms excludes or restricts liability to the extent that such exclusion or restriction is prohibited by Singapore law.

Where liability cannot lawfully be excluded, it will be limited to the extent permitted by applicable law.

15. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold harmless ONEORVE, its directors, officers, employees and authorised representatives from claims, losses, liabilities, damages and reasonable costs arising from:

your material breach of these Terms;
your unlawful use of the Platform;
your User Content;
your infringement of another person's rights; or
your fraudulent, negligent or wilfully improper conduct.

This provision does not require you to indemnify ONEORVE for losses caused by ONEORVE's own negligence, wilful misconduct or breach of applicable law.

16. Suspension and Termination

ONEORVE may suspend or terminate your access to VEXA where:

you materially breach these Terms;
you provide false or misleading information;
your continued access creates a security, legal or operational risk;
you misuse the Platform;
your association with ONEORVE ends, where applicable; or
suspension or termination is otherwise reasonably necessary to protect the Platform, its users or ONEORVE.

Where appropriate, ONEORVE may provide notice and an opportunity to remedy a breach.

Termination does not affect provisions that are intended to survive termination, including provisions concerning intellectual property, confidentiality, liability, indemnity, dispute resolution and governing law.

17. Complaints and Reporting

If you believe that content or conduct on VEXA:

breaches these Terms;
infringes your intellectual property rights;
misuses your personal data;
falsely represents an individual as a ONEORVE Steward; or
presents a security or safety concern,

please contact ONEORVE through the designated contact details provided on the Platform.

Where a complaint concerns personal data, you may also contact ONEORVE's Data Protection Officer using the contact information published in our Privacy Policy.

ONEORVE will review complaints and take appropriate action where warranted.

18. Governing Law

These Terms are governed by the laws of the Republic of Singapore.

Subject to any applicable mandatory rights or statutory dispute-resolution mechanisms, the parties submit to the jurisdiction of the courts of Singapore.

Nothing in these Terms prevents a party from seeking urgent or interim relief from a court of competent jurisdiction where such relief is available under applicable law.

19. Changes to These Terms

ONEORVE may update these Terms from time to time to reflect changes to the Platform, our practices, legal requirements or regulatory developments.

The latest version will be published on VEXA with the applicable effective date.

Your continued use of VEXA after the effective date of revised Terms constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

20. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it valid and enforceable.

The remaining provisions will continue in full force and effect.

21. No Waiver

A failure or delay by ONEORVE to exercise any right or remedy under these Terms does not constitute a waiver of that right or remedy.

22. Entire Agreement

These Terms, together with the VEXA Privacy Policy and any additional terms expressly applicable to particular features or services, constitute the agreement governing your use of VEXA, subject to any separate written agreement between you and ONEORVE.

Where a separate written agreement applies, the terms of that agreement will prevail to the extent of any inconsistency.
